THE INDONESIAN-MOROCCAN FRIENDSHIP ASSOCIATION [IMFA]

Article 1
Organization
THE INDONESIAN-MOROCCAN FRIENDSHIP ASSOCIATION (hereinafter: the Association) is a non-governmental, non-party and non-profit organization, and by its form is a civil association, established and organized in accordance with the Law on citizens’ associations and organizations.

Article 2

Goals
The Association’s goals and tasks are the following:

To give a contribution in maintaining, preserving and developing the traditional friendship between the Republic of Indonesia and the Kingdom of Morocco based on the principles of mutual respect and welfare of both countries.

To help establishment and strength of the co-operation between the two friendly countries concerning social issues, art, education, culture, sports and other fields.

To organize artistic, cultural and sports activities as the incentive to expand mutual contacts. Also to take the role of a bridge that will accelerate development of the bilateral exchange as a whole between the two countries.

Article 3
Method of realization
The Association realizes its goals and tasks through its activities defined in its established plans, programs, proposals and consultations aimed at developing improved content and relations within cultural, artistic, sports, educational and other activities.

Article 4
Head Office
The Association’s Head Office is in Jakarta.

Article 5

Legal Status
The Association is established within all applicable laws and regulations. 
The association is a legal entity.

Article 6

Membership
Any individual – Indonesian citizen – especially those who are in any way connected with Moroccans and/or Morocco, or have established any connections or relations with Moroccans and/or Morocco and who are willing to contribute to the achievement of goals and tasks as defined by the Association in the environment where they work or live, may become a member of the Association.

Any other person as well, will be welcome to become a member of the Association. The candidate will apply for membership by submitting the application as recommended by one of the existing members of the Association.

Article 7
Boards
The Association is managed by the Management Board and advised by the Advisory/Counselors Board.

Article 8

Chairman of the Association
The Chairman of the Association is elected among the Management Board members. Represents and presents the Association before the third parties and executes all the jobs he is authorized for by the Assembly of the Association.

The Chairman of the Association may assign, fully or partially, its powers to represent the Association to other persons.

Article 9
Management Board
The Management Board is a managing organ of the Association consists of the Chairman, Vice-Chairman, Secretary General and Members.

The Management Board Chairman represents the Association in all legal and financial-material matters. The meetings of the Management Board are summoned and presided by the Chairman of the Association, and the work of the Management Board and of the other bodies is coordinated with the Vice Chairman and the Secretary General.

The decision-making is based on the principle of simple majority 50 percent plus 1 of the quorum.

In case the decision has to be passed regarding winding up the Association’s operation, such decision shall be made based on the two-third majority of the members’ votes.

Article 10
Advisory/Counselors Board
The Advisory/Counselors Board consists of prominent figures that voluntarily join with the Association and advise the Management Board for the purpose of the improvement of the activities of the Association for the benefit of all.

Article 11

Official marks
The Association has its official seal, stamp and logo:

The shape of the seal of the Association is round and depicts of the Indonesian and Moroccan flags, and consists these words: “The Indonesian-Moroccan Friendship Association” inscribed in the Latin in the inner part of the brim with the symbol presenting the sign of the Association.

The Association’s stamp is rectangular and it consists of the words: “The Indonesian-Moroccan Friendship Association” inscribed in the Latin in the inner part of the brim with the symbol presenting the sign of the Association.

Article 12
Finance
The financial resources of the Association are generated through collection of membership fees, gifts, donations, and legacies and by other means in accordance with the law.

The Management Board passes the Decision on the amount of the annual membership fee and all the members are timely advised accordingly.

Article 13
Dissolution
The Association may be dissolved in accordance with the demand of the Association’s founders or members.

Article 14

Effective date
This Statute shall come into force on the date of its adoption.
